Beta Confidentiality Agreement

By checking the confidentiality box and entering the beta, you (“Tester”) agree with Triplance to the following:

1. Confidential information

Confidential Information includes the nonpublic beta; its designs, screens, flows, code, pricing, policies, business plans, unpublished features, tester materials, access links and codes; and any screenshots, recordings, copies, notes, or summaries of them.

2. Your promise

You will use Confidential Information only to test Triplance. You will protect it with reasonable care and will not share access; forward links or codes; publish or privately distribute screenshots or screen recordings; demonstrate the beta to another person; post about nonpublic features; or copy, extract, or reverse engineer it except where law expressly permits.

3. Limited disclosure

You may disclose Confidential Information only if Triplance gives prior written permission or law requires disclosure. Where legally allowed, you will promptly notify Triplance and disclose only what is required.

4. Exclusions

Confidential Information does not include information you can document was publicly available without your breach, already lawfully known to you without restriction, independently developed without using the beta, or lawfully received from another source without a confidentiality duty.

5. Ownership, return, and deletion

Triplance retains all rights in its Confidential Information. On request or when your access ends, you will stop using and delete beta materials in your possession, except for copies automatically retained by secure backup systems or required by law.

6. Duration and remedies

Your confidentiality duties continue for three years after your last beta access; trade-secret duties continue while the information remains a trade secret. Unauthorized disclosure may cause harm not fully repaired by money damages, so Triplance may seek injunctive relief in addition to other lawful remedies.

7. No publicity or license

You may not use Triplance's name or marks to suggest endorsement or announce your participation without written permission. No intellectual-property license is granted except the limited testing right in the Beta Terms.

8. General terms

California law governs this agreement. Courts in San Francisco County, California have exclusive jurisdiction unless applicable law requires otherwise. If one provision is unenforceable, the rest remains in effect. Electronic acceptance records your agreement.
